Sample Intermediary Agreement

This Intermediary Agreement ("Agreement") is made on [DATE] by and between [OWNER NAME] ("DVC Owner") and DVC 365, LLC ("Intermediary").

The DVC Owner requests assistance from the Intermediary for the purpose of finding and managing guests for a DVC point rental, in exchange for an agreed price per rented point payable to the DVC Owner and a separate agreed fee retained by the Intermediary.

Both parties acknowledge that they are fully familiar with the terminology, operations, rules, and regulations of the Disney Vacation Club ("DVC") and neither party will rely on the other for guidance regarding DVC-specific policies.

2. Obligations of the DVC Owner

The DVC Owner agrees to:

• Make the reservation described above through the DVC member booking system and confirm it is secured prior to the Intermediary releasing funds to the guest;
• Transfer the confirmed reservation into the guest's name via the DVC transfer process within three (3) business days of receiving written notice from the Intermediary that the guest's payment has cleared;
• Not modify, cancel, change the dates of, or otherwise alter the reservation without the prior written consent of the Intermediary;
• Respond to Intermediary communications within 24 hours on business days;
• Add any requested Disney Dining Plan if requested by the Intermediary with at least 30 days' notice before check-in, upon receipt of proper payment from the Intermediary.

3. Obligations of the Intermediary

DVC 365, LLC agrees to:

• Market and manage the rental on behalf of the DVC Owner;
• Collect full payment from the guest prior to directing the DVC Owner to transfer the reservation;
• Remit payment to the DVC Owner within five (5) business days of the guest's payment clearing, provided the reservation is confirmed;
• Serve as the sole point of contact for the guest, shielding the DVC Owner from direct guest communications;
• Provide the DVC Owner with step-by-step transfer instructions and support.

4. Non-Cancellation by DVC Owner

The DVC Owner acknowledges that once this Agreement is signed and the guest has paid, cancellation by the DVC Owner for any reason — including, without limitation, personal use of the points, banking errors, or DVC point expiration — shall constitute a material breach of this Agreement. In the event of such breach, the DVC Owner shall be liable to DVC 365, LLC for:

• Full refund of all guest payments already remitted to the DVC Owner;
• All reasonable costs incurred by DVC 365, LLC in securing alternative accommodations for the guest or refunding the guest;
• Any additional consequential damages up to the total value of the reservation.

5. Non-Cancellation by Guest / No Refund Policy

All guest rentals facilitated by DVC 365, LLC are 100% non-refundable and non-transferable for any reason. This policy applies regardless of circumstances including but not limited to natural disaster, illness, park or resort closures, construction, acts of God, or changes in personal circumstances. The DVC Owner's payment is secured upon the guest's non-refundable transaction.

6. DVC Owner Representations and Warranties

The DVC Owner represents and warrants that:

• They are the lawful owner of an active DVC membership in good standing;
• The points used for this reservation are not borrowed beyond the allowed DVC borrowing window, are not encumbered, and are fully available;
• The reservation made is accurate, confirmed, and free of any defects that would prevent a guest from checking in;
• They have not and will not list this reservation with any other intermediary while this Agreement is in effect.

7. Limitation of Liability

DVC 365, LLC's liability to the DVC Owner shall not exceed the total amount paid to the DVC Owner under this Agreement. DVC 365, LLC shall not be liable for any indirect, incidental, or consequential damages arising from its performance under this Agreement. DVC 365, LLC is not responsible for any changes to Disney Vacation Club policies, park operations, or resort conditions beyond its control.

8. Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida without regard to conflict of law provisions. Any dispute arising from this Agreement shall first be subject to good-faith mediation before either party may initiate legal proceedings. In the event of litigation, the prevailing party shall be entitled to recover reasonable attorneys' fees.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings or representations. This Agreement may not be modified except by a written amendment signed by both parties.

10. Electronic Signature

The parties agree that electronic signatures shall have the same legal effect as original handwritten signatures and that this Agreement may be executed by electronic means.
